Terms of service

Kehai is a monitoring, triage and change-control aid for indirect-tax teams. It is not legal or tax advice, and no output should be relied on without verification against the cited official source. These terms are short on purpose; the signed agreement governs where one exists.

The service

Kehai monitors VAT/GST and e-invoicing developments across your configured jurisdictions and turns them into review-ready items, assessments and actions in a private workspace. Corporate income tax is outside the current offering.

Not advice

Items and assessments are generated by AI and labelled as such until a person in your workspace reviews them. They are a triage aid. Decisions about tax positions, filings and payments remain yours and your advisers'; every item links its official source so you can verify before acting.

Sources and accuracy

The information Kehai monitors is gathered from public internet sources and official publications. It can be incomplete, wrong, superseded or mis-dated, and the newest developments can take a monitoring cycle to appear. Nothing the service produces is a legal conclusion. Every item links the official source it came from, and you must verify each item against that source before relying on it.

Point-in-time assessments

Every item, assessment, report and confidence score reflects the information available on its stated date. Authorities change positions, timetables and guidance; when they do, items are re-assessed and re-scored, and later outputs may differ from earlier ones. The evidence pack for an item records what was seen and when, and an output is to be judged against that record, not against information that emerged later.

Scoring

Confidence scores are machine-derived triage indicators based on available source and assessment signals. A score is not a warranty of accuracy or completeness and can change as those signals change. Scores help reviewers prioritise work; they do not replace professional judgement.

Limitations

Kehai is a monitoring and triage aid, and its limits form part of these terms. Monitoring can miss, mis-date or mis-classify a development, and coverage extends only to the scope you configure, never the whole world. The service does not provide legally verified conclusions or autonomous tax advice, and it does not file returns, sign off legal positions or replace your advisers. A reachable source link does not of itself prove a claim, a label describing content as primary or official carries the same verification duty as the content it describes, and an AI-generated relevance assessment is not warranted correct until a person in your workspace has reviewed it. No measured precision or recall figure is claimed for relevance assessments: they are AI-generated and human-reviewed, not yet benchmarked against a labelled gold set. An English summary of a local-language source is a working aid, not a certified translation. No security or availability certification is claimed before the relevant control exists and is evidenced. Where a marketing page states a capability more broadly, this section governs.

Your data

You own the business context you provide and everything your workspace produces from it. We use it only to run the service, as described in the privacy policy, and you can export your register and evidence packs at any time.

Data protection

Personal data is handled as the privacy policy describes, and the privacy policy forms part of these terms. Kehai uses only the sub-processors named there and processes workspace data solely to run the service. Where a signed data-processing agreement covers your workspace, it governs over both.

Breach notification

If personal data you hold in Kehai is affected by a security breach, we notify you within 72 hours of becoming aware, with what is known at the time and what is still being established. This commitment applies whether or not a separate signed agreement covers your workspace.

Acceptable use

Use the workspace for your own organisation's compliance monitoring. Do not resell access, probe other deployments, or attempt to extract the underlying prompts and methods.

Availability and support

The service is provided with reasonable skill and care, without an uptime warranty at this stage; the status page shows current and historical availability once published. Support is by email from the operator.

Fees

Plans have a 12-month term, paid annually in advance, unless a signed order form expressly states otherwise. Prices exclude applicable VAT. Administrators, editors and reviewers count as decision seats; read-only viewers are free. The 14-day guided Desk pilot and invitation-only 90-day founding programme end without automatic billing or conversion. Any paid continuation and founding partner discount require written agreement. The signed order form confirms your scope and total fees.

Intellectual property

Kehai, its software and methods remain ours. Your data and your configuration remain yours. Neither side acquires the other's rights beyond what these terms grant.

Liability

Neither side is liable for indirect or consequential loss. Our total liability is capped at the fees you paid in the twelve months before the claim. Nothing in these terms excludes liability that cannot lawfully be excluded.

Termination

Either side may end the agreement as set out in the order form, or on notice where there is no order form. On termination you can export your data; we then delete it on request, as the privacy policy describes.

Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

Changes

If these terms change, this page is updated and the date above moves. Material changes are notified to active workspaces before they take effect.
